1. Introduction
This Seller Agreement (“Agreement”) governs all listings, sales, negotiations, communications, ownership transfers, settlements, and related activities conducted by sellers through ChannelCow.
By creating listings, communicating with buyers, accepting offers, participating in transactions, receiving payouts, or otherwise using the Platform as a seller, you acknowledge and agree to be legally bound by this Agreement, the Platform Terms & Conditions, Privacy Policy, Refund Policy, AML/KYC Policy, and all related platform policies.
If you do not agree with this Agreement, you must not use ChannelCow as a seller.
2. Nature of Digital Asset Transactions
The seller acknowledges that transactions conducted through ChannelCow involve the transfer of digital creator assets and internet-based business properties.
These assets may include:
- YouTube channels
- Instagram accounts
- Facebook pages
- Creator brands
- Monetized digital properties
- Audience-based businesses
- Content brands
- Related digital intellectual property
The seller acknowledges that such assets may be subject to:
- Third-party platform rules
- Monetization changes
- Copyright claims
- Platform enforcement actions
- Algorithm changes
- Security risks
3. Seller Eligibility
By using the Platform as a seller, the seller represents and warrants that:
- They are at least 18 years old
- They have legal authority to transfer the asset
- They are not prohibited from using payment systems
- They are not acting fraudulently
- They comply with applicable laws
- They are not using stolen identities or financial instruments
Businesses using the Platform represent that authorized representatives have proper authority to act on behalf of the entity.
4. Ownership Representation
The seller represents and warrants that:
- They are the lawful owner or authorized operator of the listed asset
- They possess legal authority to transfer ownership
- The listing information is accurate
- Submitted analytics are genuine
- Revenue information is truthful
- Subscriber or audience metrics are not manipulated
- The asset has not been stolen or hacked
- The asset is not subject to undisclosed disputes
The seller acknowledges that false representations may result in:
- Permanent suspension
- Fund holds
- Legal action
- Fraud investigations
- Financial liability
5. Listing Obligations
When creating a listing, the seller agrees:
- To provide accurate information
- Not to manipulate screenshots or analytics
- Not to submit fake engagement metrics
- Not to hide material issues
- Not to mislead buyers
- To maintain updated listing information
- To disclose known risks where relevant
ChannelCow reserves the right to:
- Reject listings
- Edit listings
- Remove listings
- Request additional verification
- Suspend suspicious listings
without prior notice.
6. Prohibited Seller Activities
The seller may NOT:
- Sell hacked accounts
- Sell stolen assets
- Sell fake engagement channels
- Use bots or artificial inflation methods
- Submit fake revenue proof
- Use fraudulent recovery methods
- Conduct off-platform deals
- Circumvent platform fees
- Violate intellectual property rights
- Engage in financial fraud
- Misrepresent monetization status
- Attempt post-sale recoveries
Serious violations may result in:
- Permanent account bans
- Fund freezes
- Legal reporting
- Civil liability
- Cooperation with law enforcement
7. Verification Requirements
The seller agrees to complete verification procedures if requested by ChannelCow.
Verification may include:
- Government-issued identification
- PAN card
- Aadhaar card
- Passport
- Business verification
- Video verification
- Selfie verification
- Address verification
- Bank verification
- Source-of-funds declarations
Failure to cooperate may result in:
- Listing restrictions
- Payout delays
- Transaction cancellation
- Account suspension
8. Offer Acceptance
By accepting an offer, the seller acknowledges that:
- The transaction may become binding
- Buyers may proceed with payment
- Transfer obligations may begin
- Platform compliance procedures may apply
The seller agrees not to accept offers fraudulently or without genuine intent to complete the transfer.
9. Transfer Obligations
The seller agrees to cooperate fully during the ownership transfer process.
This may include:
- Providing access credentials
- Transferring administrative permissions
- Changing recovery information
- Assisting with ownership migration
- Participating in verification procedures
- Confirming transfer completion
The seller must complete transfers honestly and in good faith.
10. Prohibition on Recovery Attempts
After transfer completion and payout release, the seller may NOT:
- Attempt to recover the asset
- Use recovery methods maliciously
- Reclaim ownership
- Use old credentials
- Contact third-party platforms fraudulently
- Reverse transferred permissions
Unauthorized recovery attempts are considered serious fraud.
Violations may result in:
- Legal reporting
- Permanent bans
- Financial liability
- Cooperation with law enforcement
- Civil claims
11. Temporary Holding of Funds
The seller acknowledges that payouts may be temporarily delayed during:
- Verification procedures
- Fraud reviews
- Compliance checks
- Dispute investigations
- Settlement review periods
- Chargeback monitoring
ChannelCow reserves the right to delay payouts where risk indicators exist.
12. Settlement Review Period
The seller acknowledges that buyers may receive a limited review period after transfer completion.
During this period:
- Funds may remain temporarily held
- Buyers may verify ownership
- Disputes may be submitted
- Additional verification may occur
Payout release may occur only after settlement review completion.
13. Seller Security Responsibilities
Before transfer, the seller is responsible for:
- Maintaining secure account access
- Protecting account credentials
- Preventing unauthorized access
- Maintaining accurate recovery information
After transfer completion, the seller must discontinue all access attempts.
14. Intellectual Property Responsibilities
The seller represents and warrants that:
- They have rights to transfer associated content where applicable
- They are not knowingly infringing third-party rights
- They are not knowingly selling illegal or stolen intellectual property
The seller acknowledges that intellectual property disputes may exist independently of ChannelCow.
ChannelCow does not independently verify all intellectual property ownership claims.
15. Third-Party Platform Risks
The seller acknowledges that listed assets may depend on third-party platforms including:
ChannelCow has no control over:
- Algorithm changes
- Platform suspensions
- Monetization changes
- Copyright enforcement
- Community guideline actions
- Account restrictions
The seller accepts all risks associated with third-party platforms.
16. Tax Responsibilities
The seller is solely responsible for:
- Tax reporting
- GST obligations
- Income declarations
- Financial compliance
- Applicable regulatory filings
ChannelCow does not provide tax advice.
Users should consult independent tax professionals where necessary.
17. Off-Platform Transactions
The seller agrees not to:
- Circumvent platform fees
- Move buyers outside the Platform
- Conduct hidden external transactions
- Request direct payments outside approved systems
ChannelCow is not responsible for losses arising from off-platform transactions.
Violations may result in permanent restrictions.
18. Chargebacks & Payment Abuse
The seller acknowledges that fraudulent payment activity or collusion may result in:
- Fund holds
- Account bans
- Investigation flags
- Legal action
- Financial recovery proceedings
ChannelCow reserves the right to cooperate with payment processors during investigations.
19. Fraud Investigations
ChannelCow reserves the right to investigate:
- Suspicious listings
- Fake analytics
- Recovery attempts
- Fraud indicators
- Identity concerns
- Payment abuse
- Manipulated screenshots
- Misrepresentation claims
The seller agrees to cooperate fully during investigations.
20. Limitation of Liability
To the maximum extent permitted by law, ChannelCow shall not be liable for:
- Lost profits
- Future revenue decline
- Monetization changes
- Audience loss
- Algorithm changes
- Third-party platform actions
- Indirect damages
- Consequential damages
Maximum liability shall not exceed fees paid directly to ChannelCow related to the transaction.
21. Indemnification
The seller agrees to indemnify and hold harmless ChannelCow and its affiliates from claims arising from:
- Fraudulent conduct
- False representations
- Intellectual property disputes
- Policy violations
- Illegal activity
- Unauthorized recovery attempts
- Breach of this Agreement
22. Suspension & Enforcement
ChannelCow reserves the right to:
- Suspend seller accounts
- Freeze payouts
- Restrict platform access
- Remove listings
- Delay settlements
- Reject withdrawals
without prior notice where fraud, compliance risks, or suspicious activity are detected.
23. No Employment or Agency Relationship
Nothing in this Agreement creates:
- Employment
- Partnership
- Agency
- Joint venture
- Fiduciary relationship
between the seller and ChannelCow.
24. Governing Law & Jurisdiction
This Agreement shall be governed by the laws of India.
Users agree to submit to the exclusive jurisdiction of courts located in Punjab, India.
25. Policy Changes
ChannelCow reserves the right to modify this Seller Agreement at any time.
Continued use of the Platform constitutes acceptance of revised terms.
