1. Introduction

This Governing Law & Jurisdiction Policy (“Policy”) governs the legal framework applicable to all use of ChannelCow, including but not limited to:

  • Platform access
  • User registrations
  • Digital asset listings
  • Transactions
  • Communications
  • Payments
  • Disputes
  • Refunds
  • Settlements
  • Platform policies
  • Enforcement actions

By accessing or using ChannelCow, users acknowledge and agree that all interactions with the Platform shall be governed in accordance with this Policy.

2. Governing Law

All matters relating to the Platform, its services, policies, agreements, and transactions shall be governed by and interpreted in accordance with the laws of the Republic of India, without regard to conflict of law principles.

This includes, but is not limited to:

  • Terms & Conditions
  • Buyer Agreements
  • Seller Agreements
  • Refund Policies
  • Dispute Resolution Policies
  • Payment-related matters
  • Compliance matters
  • User conduct issues

Users agree that Indian law shall exclusively apply to all disputes and legal matters arising from the use of the Platform.

3. Exclusive Jurisdiction

Users expressly agree that any legal proceedings, claims, disputes, or actions arising out of or relating to:

  • Use of the Platform
  • Transactions conducted through the Platform
  • User conduct
  • Policy enforcement
  • Platform services
  • Digital asset transfers
  • Payment disputes
  • Refund requests
  • Fraud investigations
  • Compliance matters

shall be subject to the exclusive jurisdiction of the competent courts located in Punjab, India.

Users waive any objection regarding:

  • Venue
  • Jurisdiction
  • Inconvenient forum
  • Territorial claims

to the fullest extent permitted by law.

4. Internal Dispute Resolution First

Before initiating formal legal proceedings, users agree to first attempt resolution through ChannelCow’s internal dispute resolution procedures where applicable.

Users acknowledge that:

  • Internal reviews are administrative only
  • ChannelCow is not a court or arbitration authority
  • Internal decisions are platform-specific
  • External legal remedies may still exist

Failure to attempt reasonable internal resolution may affect platform support eligibility.

5. Arbitration Rights

Where legally permissible, ChannelCow reserves the right to require certain disputes to be resolved through arbitration or alternative dispute resolution mechanisms.

Such arbitration, where applicable, may:

  • Be conducted in India
  • Be conducted in English
  • Follow applicable Indian arbitration laws
  • Be administered through a mutually selected arbitration process

ChannelCow reserves the right to determine whether arbitration is appropriate for specific disputes.

6. Injunctive & Equitable Relief

Users acknowledge that breaches involving:

  • Intellectual property
  • Fraud
  • Unauthorized recovery attempts
  • Security abuse
  • Confidentiality violations
  • Platform misuse

may cause irreparable harm to ChannelCow.

Accordingly, ChannelCow reserves the right to seek:

  • Injunctive relief
  • Emergency relief
  • Equitable remedies
  • Account restrictions
  • Immediate suspension actions

without requiring prior arbitration or dispute completion.

7. Cross-Border Transactions

Users acknowledge that:

  • Transactions may involve parties located in different countries
  • International legal complexities may exist
  • Currency regulations may apply
  • Local laws may differ across jurisdictions

Despite such international involvement, users agree that Indian law and Punjab jurisdiction shall remain the governing legal framework for Platform-related matters.

8. Compliance with Local Laws

Users are solely responsible for ensuring that their use of the Platform complies with laws applicable in their own jurisdiction.

ChannelCow does not guarantee that use of the Platform is lawful in every country or region.

Users accessing the Platform from restricted jurisdictions do so at their own risk.

9. Language of Proceedings

Unless otherwise determined by applicable law, all:

  • Agreements
  • Legal notices
  • Proceedings
  • Arbitration matters
  • Platform policies
  • Official communications

shall be interpreted and conducted in the English language.

Translations, if provided, are for convenience only.

10. Limitation on Legal Actions

To the fullest extent permitted by law, users agree that any legal claim arising from use of the Platform must be initiated within the legally applicable limitation period under Indian law.

Failure to initiate claims within applicable limitation periods may result in waiver of legal remedies.

11. Severability

If any portion of this Policy is determined to be invalid, illegal, or unenforceable by a competent authority, the remaining provisions shall continue in full force and effect.

12. Survival

This Governing Law & Jurisdiction Policy shall survive:

  • Account termination
  • Platform suspension
  • Transaction completion
  • Policy updates
  • User inactivity
  • Platform discontinuation

to the extent legally necessary.

13. No Waiver

Failure by ChannelCow to enforce any provision of this Policy shall not constitute a waiver of any rights or remedies.

Any waiver must be expressly provided in writing.

14. Government & Regulatory Cooperation

ChannelCow reserves the right to cooperate with:

  • Courts
  • Law enforcement agencies
  • Regulatory authorities
  • Financial compliance bodies
  • Government agencies

where legally required or necessary to protect platform integrity.

15. Force Majeure & Regulatory Changes

ChannelCow shall not be liable for delays, disruptions, or inability to perform obligations arising from:

  • Government restrictions
  • Regulatory changes
  • Legal orders
  • International sanctions
  • Court injunctions
  • Platform-wide third-party restrictions

Users acknowledge that digital asset marketplaces may be affected by evolving legal and regulatory conditions.

16. Policy Changes

ChannelCow reserves the right to modify this Policy at any time.

Updated versions become effective immediately upon publication on the Platform.

Continued use of the Platform constitutes acceptance of revised policies.
