“Buyer”

A user purchasing or attempting to purchase a digital asset.

“Seller”

A user listing, transferring, or attempting to sell a digital asset.

“Digital Asset”

Includes but is not limited to:

• YouTube channels

• Instagram accounts

• Facebook pages

• Creator brands

• Digital communities

• Audience-based businesses

• Monetized content properties

• Social media assets

• Related intellectual property or associated business assets

“Transaction”

Any negotiation, agreement, payment, ownership transfer, settlement, or dispute conducted through the Platform.

“Settlement Period”

The review period after transfer completion during which disputes may be raised.

1.3 Nature of Platform

ChannelCow operates solely as a technology-enabled marketplace facilitating introductions and transactions between independent buyers and sellers.

ChannelCow is NOT:

• A broker-dealer

• An investment advisor

• A financial institution

• A banking institution

• A licensed escrow company

• A law firm

• A tax advisory service

• A valuation firm

• A representative of YouTube, Google, Meta, Instagram, or Facebook

ChannelCow does not own listed digital assets unless explicitly stated.

Users understand and agree that:

• Transactions are conducted between independent parties

• ChannelCow does not verify every claim made by users

• ChannelCow cannot guarantee future asset performance

• ChannelCow does not guarantee legal transferability under third-party platform rules

• Users assume all risks associated with digital asset transactions

1.4 Eligibility Requirements

To use ChannelCow, users must:

• Be at least 18 years old

• Have legal authority to enter contracts

• Not be prohibited from using online financial services

• Not be subject to sanctions or financial restrictions

• Provide truthful and accurate information

• Maintain valid identification documents when requested

Businesses using the Platform represent that the individual acting on behalf of the business has authority to bind the entity legally.

ChannelCow reserves the right to reject any user application or registration without explanation.

1.5 Account Registration & Security

Users may be required to register an account.

Users agree:

• To provide accurate information

• To maintain updated contact information

• Not to create fake accounts

• Not to impersonate individuals or companies

• Not to share login credentials

• Not to transfer accounts without permission

Users are solely responsible for:

• Account activities

• Unauthorized access risks

• Maintaining account security

• All actions conducted through their account

ChannelCow is not liable for losses resulting from compromised credentials.

1.6 Verification & Compliance

ChannelCow may request identity verification documents at any time.

Verification may include:

• Government-issued identification

• PAN card

• Aadhaar card

• Passport

• Selfie verification

• Video verification

• Business registration documents

• Address proof

• Bank verification

Users agree to cooperate with verification procedures.

Failure to comply may result in:

• Delayed transactions

• Fund holds

• Account restrictions

• Account termination

1.7 Listing Policies

Sellers may submit listings for digital assets.

By creating a listing, sellers represent that:

• They own or control the asset legally

• They have authority to transfer ownership

• Listing information is truthful

• Analytics are accurate

• Revenue data is not manipulated

• The asset does not violate third-party rights

ChannelCow reserves the right to:

• Edit listings

• Reject listings

• Remove listings

• Request additional proof

• Suspend suspicious listings

without prior notice.

1.8 Transaction Process

The standard process may include:

1. Buyer creates or accepts an offer

2. Seller confirms transaction intent

3. Buyer completes payment

4. Payment is temporarily held

5. Verification procedures may occur

6. Ownership transfer is initiated

7. Settlement period begins

8. Seller payout is released

ChannelCow may modify transaction procedures at its discretion.

Completion timelines may vary depending on:

• Platform requirements

• User cooperation

• Compliance reviews

• Fraud checks

• Payment processing timelines

1.9 Payments & Processing

Buyers agree:

• To pay the full transaction amount before transfer begins

• To use authorized payment methods only

• Not to initiate fraudulent disputes or chargebacks

Sellers agree:

• That payouts may be delayed for security reviews

• That additional verification may be required before withdrawals

Users acknowledge that:

• Payment processors may impose independent restrictions

• Banking delays may occur

• Compliance reviews may extend payout timelines

ChannelCow reserves the right to:

• Hold funds temporarily

• Reverse transactions where legally permitted

• Suspend payouts during investigations

• Refuse high-risk payments

1.10 Platform Fees

ChannelCow may charge:

• Commission fees

• Listing fees

• Processing fees

• Withdrawal fees

• Verification fees

• Premium service fees

Applicable fees may change at any time.

Fees paid may be non-refundable unless required by law.

1.11 Off-Platform Transactions

Users are strictly prohibited from bypassing the Platform.

• Sharing direct payment methods

• Conducting external payments

• Moving transactions outside ChannelCow

• Circumventing platform fees

ChannelCow is not responsible for:

• Off-platform scams

• Payment losses

• Fraudulent recoveries

• Sell hacked or stolen accounts

• Use fake engagement

• Use bots or artificial inflation methods

• Misrepresent financial performance

• Submit fake screenshots

• Upload illegal content

• Violate intellectual property rights

• Conduct money laundering

• Abuse platform systems

• Harass users

• Create multiple deceptive accounts

• Manipulate reviews

• Recover assets after sale

Serious violations may result in:

• Permanent suspension

• Fund freezes

• Legal action

• Reporting to authorities

• Civil claims

1.13 Intellectual Property

All Platform branding, software, systems, trademarks, logos, and intellectual property belong exclusively to ChannelCow unless otherwise stated.

Users may not:

• Copy platform systems

• Scrape platform data

• Reproduce branding

• Reverse engineer infrastructure

• Use ChannelCow trademarks without permission

Users retain ownership of their own submitted materials but grant ChannelCow a limited license to display listings and related content.

1.14 Third-Party Platforms

Users acknowledge that digital assets may depend on third-party platforms including:

• Google

• Instagram

• Facebook

• Meta

ChannelCow has no control over third-party platform decisions.

Users accept risks associated with:

• Algorithm changes

• Monetization changes

• Policy updates

• Suspensions

• Copyright claims

• Account removals

1.15 No Guarantee of Performance

ChannelCow does not guarantee:

• Revenue continuation

• Subscriber retention

• Audience quality

• Future growth

• Future monetization

• AdSense approval

• Account safety after transfer

Past performance does not guarantee future results.

1.16 Account Suspension & Enforcement

ChannelCow reserves the right to:

• Suspend accounts

• Restrict features

• Freeze transactions

• Delay payouts

• Remove listings

• Permanently terminate users

for:

• Fraud risks

• Chargebacks

• Compliance concerns

• Policy violations

• Suspicious activities

Actions may be taken without prior warning.

1.17 Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis.

ChannelCow makes no warranties regarding:

• Continuous operation

• Error-free systems

• Transaction success

• Data accuracy

• Asset legality

• Future platform compatibility

1.18 Limitation of Liability

To the maximum extent permitted by law, ChannelCow shall not be liable for:

• Lost profits

• Business losses

• Revenue decline

• Audience loss

• Indirect damages

• Consequential damages

• Platform bans

• Third-party actions

ChannelCow’s maximum liability shall not exceed the total fees paid to ChannelCow related to the disputed transaction.

1.19 Indemnification

Users agree to indemnify and hold harmless ChannelCow and its owners, employees, contractors, and affiliates from claims arising from:

• Fraud

• Intellectual property violations

• Third-party disputes

• Breach of these Terms

• Illegal activities

1.20 Governing Law

These Terms are governed by the laws of India.

Users agree to submit to the exclusive jurisdiction of courts located in Ludhiana, Punjab, India.
