1. Introduction
This Buyer Agreement (“Agreement”) governs all purchases, offers, negotiations, communications, settlements, and transactions conducted by buyers through ChannelCow.
By accessing the Platform, creating offers, making payments, purchasing digital assets, or participating in transactions, the buyer acknowledges and agrees to be legally bound by this Agreement, the Platform Terms & Conditions, Privacy Policy, Refund Policy, AML/KYC Policy, and all related platform rules.
If you do not agree with this Agreement, you must not use ChannelCow.
2. Nature of Digital Asset Transactions
The buyer acknowledges that digital asset acquisitions involve substantial business, operational, platform, and financial risks.
Digital assets may include:
- YouTube channels
- Instagram accounts
- Facebook pages
- Creator brands
- Audience communities
- Monetized content properties
- Digital media businesses
- Related intellectual property or associated assets
The buyer understands that digital assets are intangible internet-based properties dependent on third-party platforms beyond ChannelCow’s control.
3. Independent Buyer Responsibility
The buyer is solely responsible for evaluating all aspects of a transaction before purchase.
This includes independently reviewing:
- Revenue claims
- Analytics
- Traffic sources
- Subscriber quality
- Audience engagement
- Monetization methods
- Copyright risks
- Community guideline risks
- Existing strikes or warnings
- Business sustainability
- Niche viability
- Platform dependency risks
ChannelCow does not provide investment advice, legal advice, tax advice, or financial recommendations.
4. No Guarantee of Future Performance
The buyer acknowledges and agrees that ChannelCow does NOT guarantee:
- Revenue continuation
- Future monetization
- Audience retention
- Subscriber quality
- Viewer engagement
- Future growth
- Search rankings
- AdSense approval
- Algorithm stability
- Platform compliance
- Brand safety
- Long-term business success
Past performance does not guarantee future results.
Digital asset values may fluctuate significantly.
5. Third-Party Platform Risks
The buyer acknowledges that purchased assets may depend on third-party platforms including:
- YouTube
- Google AdSense
- Other external services
The buyer accepts all risks associated with:
- Platform policy changes
- Algorithm updates
- Monetization changes
- Copyright claims
- Community guideline strikes
- Platform suspensions
- Demonetization
- Account restrictions
- Audience fluctuations
- Security risks
ChannelCow has no control over third-party platform decisions.
6. Buyer Eligibility
By using the Platform, the buyer represents and warrants that:
- They are at least 18 years old
- They have legal authority to enter binding agreements
- They are not prohibited from using payment services
- They are not using stolen financial instruments
- Their use of the Platform complies with applicable laws
Businesses purchasing through the Platform represent that the individual acting on behalf of the entity has proper authority.
7. Buyer Verification Requirements
The buyer agrees to complete identity verification procedures if requested by ChannelCow.
Verification may include:
- Government-issued ID
- PAN card
- Aadhaar card
- Passport
- Selfie verification
- Video verification
- Address verification
- Source-of-funds verification
- Business verification
Failure to cooperate may result in:
- Transaction delays
- Account restrictions
- Payment holds
- Cancellation of transactions
8. Offer Creation & Negotiation
The buyer may create offers through the Platform.
By submitting an offer, the buyer acknowledges that:
- Offers may become binding upon acceptance
- Sellers may reject offers
- ChannelCow may review transactions
- Additional verification may be required
The buyer agrees not to submit fraudulent or misleading offers.
9. Payment Obligations
The buyer agrees:
- To complete full payment before ownership transfer begins
- To use authorized payment methods only
- Not to use stolen financial information
- Not to engage in payment abuse
- Not to initiate fraudulent chargebacks
Users acknowledge that payment processors may impose additional restrictions or verification requirements.
10. Temporary Holding of Funds
The buyer acknowledges that funds may be temporarily held during:
- Verification procedures
- Fraud reviews
- Transfer confirmation
- Settlement periods
- Dispute investigations
- Compliance checks
ChannelCow reserves the right to delay settlements where necessary.
11. Ownership Transfer Process
The buyer acknowledges that ownership transfer may involve:
- Email ownership changes
- Administrative permission transfers
- Credential updates
- Recovery information changes
- Two-factor authentication changes
- Platform-specific procedures
The buyer is responsible for promptly securing the transferred asset after receiving control.
12. Buyer Security Responsibilities
After transfer completion, the buyer is responsible for:
- Updating passwords
- Changing recovery emails
- Securing two-factor authentication
- Updating recovery methods
- Protecting login credentials
- Preventing unauthorized access
ChannelCow is not responsible for buyer negligence after transfer completion.
13. Settlement Review Period
Following transfer completion, the buyer receives a limited review period to inspect the asset.
During this period, the buyer must:
- Verify access
- Confirm ownership control
- Check recovery methods
- Review transferred permissions
- Raise material disputes promptly
Failure to report issues within the settlement period may result in automatic transaction completion.
14. Dispute Rights
The buyer may raise disputes involving:
- Failed ownership transfer
- Fraudulent listings
- Material misrepresentation
- Unauthorized recovery attempts
- Missing deliverables
The buyer agrees to provide supporting evidence and cooperate fully with investigations.
15. Non-Refundable Situations
The buyer acknowledges that refunds are generally NOT provided for:
- Revenue decline
- Audience changes
- Platform policy actions
- Algorithm changes
- Demonetization
- Copyright claims after settlement
- Business underperformance
- Buyer remorse
- Strategic mistakes
- External platform restrictions
16. Prohibited Buyer Activities
The buyer may NOT:
- Conduct off-platform payments
- Circumvent platform fees
- Use fraudulent payment methods
- Abuse dispute systems
- Manipulate screenshots
- Harass sellers
- Attempt unauthorized recoveries
- Use the Platform illegally
- Engage in money laundering
- Submit false information
Violations may result in:
- Account suspension
- Fund freezes
- Legal reporting
- Permanent bans
- Financial recovery actions
17. Off-Platform Transactions
The buyer agrees not to bypass the Platform for payments or transactions.
ChannelCow is not responsible for:
- External scams
- Off-platform fraud
- Unverified agreements
- Unsecured payments
- Recovery disputes arising from external deals
Users conducting off-platform transactions do so entirely at their own risk.
18. Intellectual Property Acknowledgment
The buyer acknowledges that digital assets may involve:
- Copyrighted materials
- Licensed content
- Third-party intellectual property
- Trademark risks
The buyer is responsible for independently verifying intellectual property risks before purchase.
ChannelCow does not guarantee that listed assets are free from intellectual property disputes.
19. Tax Responsibilities
The buyer is solely responsible for:
- Applicable taxes
- Business reporting
- Regulatory compliance
- Financial declarations
- Accounting obligations
ChannelCow does not provide tax advice.
20. Limitation of Liability
To the maximum extent permitted by law, ChannelCow shall not be liable for:
- Investment losses
- Revenue decline
- Audience loss
- Monetization issues
- Platform suspensions
- Copyright claims
- Indirect damages
- Consequential damages
- Third-party platform actions
Maximum liability shall not exceed fees paid directly to ChannelCow related to the transaction.
21. Indemnification
The buyer agrees to indemnify and hold harmless ChannelCow and its affiliates from claims arising from:
- Buyer misconduct
- Platform policy violations
- Illegal activity
- Payment fraud
- Intellectual property disputes
- Third-party claims
- Breach of this Agreement
22. Suspension & Enforcement
ChannelCow reserves the right to:
- Suspend buyer accounts
- Freeze funds
- Delay transactions
- Restrict platform access
- Reject payments
- Report suspicious activity
without prior notice where fraud or compliance risks exist.
23. No Agency Relationship
Nothing in this Agreement creates:
- Partnership
- Joint venture
- Employment
- Agency relationship
- Fiduciary relationship
between the buyer and ChannelCow.
24. Governing Law & Jurisdiction
This Agreement shall be governed by the laws of India.
Users agree to submit to the exclusive jurisdiction of courts located in Ludhiana Punjab, India.
25. Policy Changes
ChannelCow reserves the right to modify this Agreement at any time.
Continued use of the Platform constitutes acceptance of revised terms.
